This Partner Agreement is entered into between Central Texas Mycological Society (CTMS) and your Organization (referred to as the "Partner"), collectively referred to as the "Parties," on time, date and location entered on the form.
Scope of Services: CTMS agrees to provide educational services related to mycology to the Partner. These services may include, but are not limited to workshops, talks, walks, and any other educational activities mutually agreed upon by both Parties.
Payment Terms: The Partner agrees to pay the CTMS a total sum above for the educational services rendered as specified in the attached invoice or as otherwise agreed upon by both Parties. The amount will be paid to CTMS within 30 days of services rendered.CTMS accepts payments by check by mail, Venmo or Paypal. All financial transactions are to be directed exclusively to “Central Texas Mycological Society” and not individual educators involved in the provision of the services to ensure proper financial management." under the Payment Terms.
Intellectual Property: CTMS retains all rights, title, and interest in any intellectual property created or used during the provision of educational services, including but not limited to presentation materials, course content, and any related documentation. The Partner shall not reproduce, distribute, or make any unauthorized use of the CTMS intellectual property without prior written consent.
Termination: Either Party may terminate this Agreement by providing written notice by email to the other Party. In the event of termination, the Partner shall remain responsible for any outstanding payments due up until the termination date.
Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
Amendments: Any amendments or modifications to this Agreement must be made in writing and signed by both Parties.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of Texas without regard to its conflict of laws principles.
